MP3 Non-Exclusive License Agreement

Licensor: Marsalis Parks Licensee: Customer
1. Usage Rights
Licensee may use the beat for one (1) commercial recording (song/track).
Distribution allowed up to:
2,500 copies (digital + physical)
100,000 streams (Spotify, Apple Music, etc.)
1 music video (YouTube, Vimeo, etc.)
Beat may also be used for non-profit promotional use (no free downloads).
Licensee may record, alter, and mix the beat, but may not resell, lease, or license it.
2. Publishing & Royalties
Licensor retains 100% publishing rights.
Licensee keeps 100% of master royalties generated from sales/streams of their recording (within limits above).
3. Master Recording
This license covers one (1) new composition.
Any additional compositions require a new license.
4. Ownership
Licensor retains 100% copyright and ownership of the beat.
Beat may continue to be leased non-exclusively or sold exclusively.
5. Credit
Licensee must credit: “Prod. Marsalis Parks” on all distributed material (verbal or written).
Licensor reserves the right to keep a producer tag on all non-exclusive beats.
6. Performance Clause
If the Licensee’s recording exceeds 1,000,000 streams or 10,000 sales, the Licensee agrees to upgrade to an Unlimited Lease or Exclusive Rights Agreement with the Licensor.
7. Agreement
By purchasing this license, the Licensee agrees to all terms above and is granted non-exclusive rights to the instrumental in MP3 format.
